Approved Meeting Minutes from March 25, 2006, April 22, 2006
Park Status
Ironcloud will be notified that they are no longer a park of the Emerald Hills.
Aaron Simpson will send a registered letter to Bill Little.
Cuiviedor Amarth will be notified that they are no longer a park of the Emerald Hills.
Aaron Simpson will send a registered letter to John Turrentine, the last officer of record for the park.
Shire of the West is not still meeting.
Legal analysis of corpora and BOD bylaws by Caroline Akers:
No decision has been made regarding the revision of the BOD bylaws and corpora.
Aaron Simpson will write a letter stating that we are a non-profit organization and provide it to the RGK.
Regarding Steven Akins:
Aaron Simpson will send a registered letter to Steven Akins informing him that he is not in any danger from Brenden Meiners.
Midnight Rain has not yet received a contract. Samantha Caudill will send a new contract.
Contact has not been made regarding participation of the Emerald Hills in a collective insurance agreement. Jason Jacobs will serve as the contact for the Emerald Hills BOD in this discussion.
The RGK meeting of May 9, 2006 did not occur. John Elder moves that, at the June 6, 2006 RGK meeting, John Elder will discuss the BOD/RGK relationship and set up a mutual meeting to enumerate the RGK responsibilities. Passed.
New Business:
Samantha Caudill moves that Jason Jacobs will replace Brenden Meiners as the BOD Ambassador. Passed.
On Friday, May 12, Samantha Caudill’s truck was broken into and a kingdom checkbook was stolen. The BOD will issue a stop payment order on the stolen checks, check numbers 1346 through 1371. If checks of these numbers are found, they will be destroyed.
Andréa Jacobs, on behalf of Jason Jacobs, asks if the kingdom has a duty to provide copies of kingdom records, specifically waivers, to a member on request. Discussion of Texas Business Organization Code 22.351 (“A member of a corporation, on written demand stating the purpose of the demand, is entitled to examine and copy at the member's expense, in person or by agent, accountant, or attorney, at any reasonable time and for a proper purpose, the books and records of the corporation relevant to that purpose.”) ensued.
Chris Koeberle moves that to the extent that the Emerald Hills maintain records, including waivers as we currently use them, the Emerald Hills is responsible to make them available to members of the Emerald Hills in response to a proper request under Texas Business Organizations Code § 22.351. Second. Passed.
Chris Koeberle moves that to the extent that the Emerald Hills, Incorporated maintains records from before the date of incorporation, it is also responsible to provide these records in response to a proper request under Texas Business Organizations Code § 22.351. Seconded. Passed.
Chris Koeberle moves that because of the confidential nature of waivers, all reasonable efforts will be made to satisfy requests with other documents before making waivers available. Seconded. Passed.
John Elder motions that all Emerald Hills parks be notified that they are required to enter records into the O.R.K. at least once a month. Records include mundane contact information, dues paid status, whether or not a physical waiver is on file, and attendance information including resident attendance at other parks and functions. Seconded. Passed.
Campus Supernus has been dissolved. The treasury has been disbursed to its members.
